The scope of all automated conversions is as described in the Specification and the Description of Deliverables at this site. These services descriptions, together with these terms and conditions, shall take precedence over any other service descriptions that may exist.

All prices published at this web site are subject to change without notice. Upon price change, (a) all outstanding quotations will be honored for the remainder of the quotation validity period, and (b) the "old prices" will be honored for any Purchase Order received within 30 days after any price change.

All prices are quoted in US Dollars

All quotations for automated conversion will be delivered via email. All such quotations will be valid for acceptance for a period of 60 days from the date of the quotation.

Previse authorized Channel Members are eligible for Product Class C product class discounts from published conversion prices, and Product Class B discounts for any additional labor charges.

Additional services are available from Previse on a time and expenses basis.

Terms of Payment - All invoices are payable within 30 days after the date of invoice.

Previse Inc. commits that any and all information provided to Previse for the Wonderware to iFIX screen conversion services identified at this web site, together with all other material which, under all of the circumstances, ought reasonably to be treated as Confidential and/or Proprietary, will not be disclosed to any third party.

All converted files will be delivered back to the purchaser via the most expedient and efficient means. Shipping will occur with 10 working days after receipt of files at Previse. This will most likely be via the same method that was used to ship files to Previse for conversion.

Previse reserves the right to reject any set of files received for conversion, and return these files to the originator without conversion.

Limited Warranty - In the event that the converted files shall fail to meet Previse published specifications, Previse will, without additional charge, correct any defects within the converted files that are, within 30 days of shipment from Previse, brought to our attention in writing. The means with which such correction shall be made shall be decided solely at Previse discretion, and shall most likely consist of changes to our conversion tools, followed by a repeat of the automated conversion process. THIS WARRANTY IS EXCLUSIVE AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE CONVERSION SERVICES PROVIDED BY PREVISE. NO OTHER WARRANTY EXISTS, NOT SHOULD ADDITIONAL WARRANTY BE INFERRED.

Limitation of Liability - IN NO EVENT, REGARDLESS OF CAUSE, SHALL PREVISE INC. BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGE EITHER REAL OR ALLEGED OR FOR ANY LOSS OF PROFIT. PREVISE LIABILITY IN ANY EVENT IS LIMITED TO AN AMOUNT EQUAL TO THAT TO BE PAID TO PREVISE PURSUANT TO THE ORDER PROVIDED TO PREVISE.

These terms and conditions will apply to all automated screen conversions provided by Previse, and will take precedence over terms and conditions which may accompany company Purchase Order.
